1. Acceptance of Terms

By accessing or using AcquiPro's services, including our web application, browser extension, and API ("Services"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our Services.

You must be at least 18 years of age and have the legal capacity to enter into these terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

AcquiPro is a property management and research platform designed for real estate professionals in Australia. Our Services include:

  • Client Relationship Management (CRM): Tools to manage client profiles, preferences, and communications
  • Property Research: Access to property listings, suburb analytics, and market data
  • AI-Powered Property Matching: Automated matching of properties to client preferences
  • Document Analysis: AI-driven analysis of contracts, inspection reports, and other property documents
  • Report Generation: Branded reports for suburb and property analysis
  • Browser Extension: Chrome extension for enhanced property research on third-party websites
  • Team Collaboration: Multi-user organizations with role-based access

3. Account Registration and Security

To use our Services, you must:

  • Create an account using Google OAuth authentication
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscription Plans and Billing

AcquiPro offers subscription-based access to our Services:

  • Solo Plan: For individual users, available monthly or annually
  • Team Plan: For organizations with multiple users
  • Free Tier: Limited access to certain features

Payment is processed securely through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period.

We reserve the right to modify pricing with 30 days' notice. Price changes will apply to your next billing cycle.

5. Browser Extension Terms

Our Chrome browser extension enhances property research by providing additional data and features when browsing property listing websites. By using the extension, you agree to:

  • Use the extension only with a valid AcquiPro account
  • The extension accessing property data from Domain.com.au and realestate.com.au pages you visit
  • Comply with the terms of service of third-party websites you access while using the extension
  • Not use the extension for any automated bulk data collection beyond normal browsing

The extension stores authentication tokens locally for up to 90 days. You can revoke extension access at any time through your account settings or by logging out of the extension.

6. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these terms. You must not:

  • Use the Services in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use automated tools, bots, or scrapers to access the Services (except through our authorized extension)
  • Reverse engineer, decompile, or attempt to extract source code from our software
  • Share your account credentials with third parties
  • Upload malicious content, viruses, or harmful code
  • Use the Services to harass, abuse, or harm others
  • Resell or redistribute our Services without authorization
  • Violate any applicable real estate industry regulations or professional standards

7. User-Generated Content

You retain ownership of all data you enter into the Services, including client information, notes, and uploaded documents ("User Content"). By using the Services, you grant us a limited license to process, store, and display your User Content solely to provide the Services to you.

You represent and warrant that:

  • You have the right to enter and upload all User Content
  • Your User Content does not infringe on the rights of any third party
  • You have obtained necessary consents to store client information in our platform
  • Any documents you upload are either your own or you have authorization to analyze them

8. Third-Party Integrations

Our Services integrate with third-party platforms including:

  • Gmail and Outlook for email functionality
  • Domain.com.au for property data
  • Stripe for payment processing

When you authorize these integrations, you agree to the applicable third-party terms of service. We are not responsible for the availability, accuracy, or functionality of third-party services.

9. AI-Powered Features

Our Services include AI-powered features for property matching and document analysis. You acknowledge that:

  • AI-generated insights are for informational purposes only
  • AI analysis is not a substitute for professional legal, financial, or property advice
  • We do not guarantee the accuracy or completeness of AI-generated content
  • You should verify important information independently before making decisions
  • Property matching uses automated decision-making based on stated preferences

10. Intellectual Property

AcquiPro and its licensors retain all rights, title, and interest in the Services, including all software, branding, design, and technology. You may not copy, modify, or create derivative works based on our Services.

You retain ownership of your User Content. By providing feedback or suggestions about our Services, you grant us the right to use such feedback without compensation or attribution.

11. Data and Privacy

Your use of our Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. Key points include:

  • Data is scoped to your organization and not shared with other users
  • You can export your data at any time
  • You can request deletion of your data by closing your account

12. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to our Services. We may:

  • Perform scheduled maintenance with reasonable notice
  • Experience downtime due to factors beyond our control
  • Modify or discontinue features with notice

Our Services depend on third-party APIs and data sources. We are not responsible for interruptions or changes in third-party services.

13. Limitation of Liability

To the maximum extent permitted by Australian law:

  • We are not liable for any property purchase, investment, or business decisions you make based on information from our Services
  • We do not guarantee the accuracy of property data, market analysis, or AI-generated insights
  • We are not responsible for the actions of third parties, including property listing websites or data providers
  • Our total liability is limited to the fees you have paid to us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages

Nothing in these terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.

14. Indemnification

You agree to indemnify and hold harmless AcquiPro, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Claims by your clients or other third parties related to your use of the Services

15. Termination

You may cancel your account at any time through your account settings. We may suspend or terminate your access if you:

  • Violate these Terms of Service
  • Fail to pay subscription fees
  • Engage in fraudulent or illegal activity

Upon termination, you will have 30 days to export your data before it is deleted. Sections relating to intellectual property, limitation of liability, and indemnification survive termination.

16. Dispute Resolution

If a dispute arises, we encourage you to contact us first to seek resolution. Before pursuing formal legal action:

  • We will attempt to resolve disputes through good faith negotiation
  • If unresolved after 30 days, either party may pursue mediation
  • Any legal proceedings must be brought in Australian courts

17. Governing Law

These Terms are governed by the laws of Australia. Any disputes are subject to the exclusive jurisdiction of Australian courts. The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

18. Changes to Terms

We may modify these Terms at any time. We will provide at least 30 days' notice of material changes via email or through the application. Your continued use of the Services after changes take effect constitutes acceptance. If you do not agree with changes, you may terminate your account before they take effect.

19. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and AcquiPro regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign your rights under these Terms without our consent. We may assign our rights to a successor or affiliate.
